License Agreement

1. Acceptance

This License Agreement (“Agreement”) governs your access to and use of Arbor (the “Service”), an AI-powered automation tool for QuickBooks Online (“QBO”) operated by the Arbor team (“we”, “our”). By creating an account, signing in, installing the Arbor Chrome extension, or otherwise using the Service, you agree to this Agreement and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and authorized use

The Service is intended for accountants, bookkeepers, and their staff who already have authority to access the QuickBooks Online company files they connect. By using Arbor against any QuickBooks company, you represent and warrant that you have the necessary authorization from the legal owner of that company file. You must be at least 18 years old and capable of entering into a binding contract.

3. License grant

Subject to your continuous compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service, including the Arbor web application and Chrome extension, solely for your internal business purposes of operating QuickBooks Online on behalf of yourself or clients you represent. We reserve all rights not expressly granted.

4. Acceptable use

You agree not to:

  • Use the Service to access QuickBooks data you are not authorized to access, or to perform actions you are not authorized to perform on behalf of the company owner.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent that this restriction is prohibited by law.
  • Resell, sublicense, or expose the Service to third parties as a hosted product without our prior written consent.
  • Attempt to bypass authentication, rate limits, the safety classifier, the audit/checkpoint trail, or any other security or integrity feature of the Service.
  • Use the Service to violate any law, infringe intellectual-property rights, or transmit malicious or unlawful content.
  • Use the Service in a way that interferes with QuickBooks Online’s own terms of service or rate limits, or that would cause Intuit to suspend or revoke our application credentials.

5. Your responsibility for actions Arbor takes

Arbor is a tool: it interprets your instructions and executes actions against the QuickBooks Online companies you connect. Although Arbor includes a safety classifier, confirmation prompts for high-risk actions, an audit log of every write, and a rewind capability, you remain responsible for verifying any change Arbor makes to your books. We strongly recommend reviewing the audit log after any substantive operation and using a sandbox or test company before running unfamiliar workflows against production data. Use Arbor against production data at your own risk.

6. QuickBooks Online and third-party services

QuickBooks Online is operated by Intuit Inc. and is not affiliated with us. Your use of QuickBooks Online is subject to Intuit’s own terms and policies. You are responsible for maintaining your QuickBooks subscription and for the accuracy of the data in your QBO companies. The Service also depends on additional third-party providers (for example, OpenAI, Supabase, AWS, and Google) as described in the Privacy Policy. We are not responsible for the availability or behavior of those providers.

7. Your data

You retain all rights to the data in your QuickBooks Online company files. We do not claim ownership over your accounting records, conversation history, agent memory, or scratchpad notes. We process this content only as necessary to operate the Service for you, as further described in the Privacy Policy. We do not use your data to train AI models, and we do not sell your data.

8. Account security

You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts that show signs of compromise or abuse.

9. Fees and beta status

Arbor may offer paid tiers in the future. While the Service is in beta or otherwise offered without charge, we may modify features, throttle usage, or discontinue access at any time without liability. Any paid plans, billing terms, and refund policies will be presented at the point of purchase and become part of this Agreement.

10. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately if you breach this Agreement, if your use poses a risk to the Service or other users, or if continued provision becomes legally or commercially unfeasible. On termination, your license ends immediately. The sections of this Agreement that by their nature should survive termination will survive, including those relating to ownership, disclaimers, limitation of liability, and governing law.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE OUTPUTS PRODUCED BY ARBOR WILL BE COMPLETE OR FREE OF ERRORS, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. ARBOR IS NOT A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING JUDGMENT, LEGAL ADVICE, OR TAX ADVICE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).

13. Indemnification

You will defend, indemnify, and hold us harmless from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service in violation of this Agreement, your unauthorized access to a QuickBooks Online company, or your violation of any law or third-party right.

14. Intellectual property

We and our licensors own all right, title, and interest in and to the Service, including its software, design, look and feel, models, prompts, agent skills, and documentation, and all related intellectual property rights. Except for the limited license granted in Section 3, no rights are granted to you under this Agreement.

15. Changes to the Service or this Agreement

We may update the Service and this Agreement from time to time. When we make material changes to this Agreement, we will update the “Last updated” date at the top of this page and, where appropriate, notify active users by email or in-app notice. Your continued use of the Service after the effective date of an update constitutes acceptance of the revised Agreement.

16. Governing law

This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to this Agreement or the Service will be resolved in the state or federal courts located in Delaware, and the parties consent to the exclusive jurisdiction of those courts.

17. Miscellaneous

This Agreement, together with the Privacy Policy, is the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign this Agreement without our prior written consent; we may assign it as part of a corporate transaction.
